These Terms of Use (the “Terms”) govern your use of HousingHUB by Kliri (the “Service” or “HousingHUB”), operated by EasyVirtualFair LLC, a Pennsylvania, United States limited liability company (“Company”, “we”, “us”). By accessing, registering for, or otherwise using the Service you accept these Terms. If you do not agree, do not use the Service.
1. What HousingHUB is — and what it is not
HousingHUB is an information platform and meeting point that allows landlords to publish off-campus rental listings and allows students affiliated with a participating institution (“Universities”) to discover those listings and to start a conversation with the landlord.
HousingHUB is NOT a real-estate broker, agent, property manager, landlord, tenant, escrow, payment processor, signing platform, or guarantor of any kind. We do not own, rent, sell, sub-let, manage, or inspect any property listed on the Service. We do not employ the landlords or the students that use the Service.
No transactions take place through HousingHUB. No lease, sub-lease, license, reservation, deposit, payment, surety, guarantee, or any other contract or agreement of any kind is created, offered, accepted, signed, executed, or processed through the Service. Any contractual relationship — including but not limited to rental agreements, security-deposit handling, payments, viewings, key handover, repairs, and dispute resolution — must be arranged, negotiated, documented, signed and performed directly between the landlord and the student outside of HousingHUB, under the law that applies to them.
Nothing that takes place on, through, or as a consequence of using the Service is binding on HousingHUB, on EasyVirtualFair LLC, or on any participating University. Messages, listings, photos, descriptions, price indications, availability information, “interest” actions, replies, and any other content exchanged via the Service are provided for informational purposes only and do not constitute an offer, acceptance, reservation, commitment or contract.
2. No vetting, no verification, no endorsement
We do not investigate, verify, vet, screen, perform background checks on, credit-check, certify, validate or endorse:
- the identity, age, immigration status, criminal record, financial standing or solvency of any user;
- the existence, ownership, title, condition, habitability, legality, compliance with zoning or housing codes, or insurance status of any property;
- the accuracy, currency or completeness of any listing, photo, description, price, fee, term, statement or representation made by any user;
- the authority of any person to publish, rent, lease, sub-let or otherwise dispose of any property;
- the suitability of any landlord for any student, or of any student for any landlord.
Participating Universities may review listings or accounts at their discretion, but any such review is for their own internal purposes and does not constitute an endorsement, recommendation, certification, or warranty by HousingHUB or by the University. You alone are responsible for independently verifying the other party and the property before entering into any rental relationship.
3. Your responsibilities as a user
By using HousingHUB you represent and agree that:
- you are at least 18 years old and have the legal capacity to enter into these Terms;
- all information you provide (account, listings, messages) is accurate, current and lawful;
- if you publish a listing, you have the legal right to rent or sub-let the property and the listing complies with all applicable laws including fair-housing, advertising, tax and consumer-protection laws;
- you will conduct your own due diligence — including in-person visits, document checks, identity checks and any background or financial checks you consider appropriate — before signing any rental document or paying any money;
- you will negotiate, document, sign, and perform any rental agreement off-platform, between you and the other party, under the law that applies to that agreement;
- you will not use HousingHUB to commit fraud, discriminate against any protected class, harass, defame, infringe intellectual-property rights, distribute malware, or break the law;
- you will not scrape, copy, resell, or otherwise commercially exploit content from the Service without our prior written consent;
- you are responsible for all taxes, fees, deposits, insurance, refunds, claims and disputes arising from any rental relationship you enter into.
4. Fair Housing
HousingHUB supports equal housing opportunity. Listings, messages and any other content on the Service must comply with the U.S. federal Fair Housing Act and with any equivalent local, state, national or international housing-discrimination laws that apply to you. It is prohibited to publish or send content that discriminates on the basis of race, color, religion, national origin, sex (including gender identity and sexual orientation), familial status, disability, or any other protected category. We may remove non-compliant content at any time, without prior notice.
5. No fees, no payments through the Service
HousingHUB does not collect rent, deposits, application fees, finder fees, commissions or any other payment from students or landlords for the rental relationship. Any subscription or service fee charged to a University or to a partner institution is governed by a separate written agreement between that institution and EasyVirtualFair LLC.
Landlords pay a separate annual subscription to publish listings on each participating University's HousingHUB site, as described in Section 6 (Landlord License) below.
6. Landlord License (paid subscription)
This Section 6 applies to any user who registers as a landlord and purchases a HousingHUB landlord subscription (the “Landlord License”). By purchasing, activating, or using a Landlord License you accept the additional terms in this Section 6, which prevail over any conflicting general provision of these Terms.
6.1 What the Landlord License is
The Landlord License is a limited, personal, non-exclusive, non-transferable, non-sublicensable right to publish off-campus rental listings on the HousingHUB site of one (1) specific participating University, for a period of three hundred sixty-five (365) days from the date the payment is successfully captured by our payment processor.
The Landlord License is granted per University. A landlord who wishes to publish on more than one participating University must purchase a separate Landlord License for each University. A Landlord License purchased for one University does not grant any right to publish, advertise, or otherwise be visible on the HousingHUB site of any other University.
The Landlord License is sold and billed in U.S. dollars (USD) at the price displayed in the Service at the time of purchase. Applicable taxes, if any, are added at checkout.
6.2 Properties you may publish
Under a Landlord License you may only publish properties that you own or that you legitimately manage on behalf of the legal owner with that owner's written authorization (e.g. as a property manager, agent, family member with explicit consent, or co-owner). You may not publish properties that you do not own or manage, that you have not been authorized to advertise, that are listed only to test the market, that are already occupied without the resident's consent, that you found in another portal and re-list, or that are not actually available for rent on the terms published.
You may publish an unlimited number of qualifying properties under a single Landlord License for that University, provided each property meets the conditions above and complies with Section 4 (Fair Housing) and Section 3 of these Terms.
6.3 One account per landlord — no account sharing
Each Landlord License is strictly personal to the landlord account that purchased it. You may not share your login credentials, transfer the account, sell or assign the Landlord License, allow other landlords or agencies to publish under your account, use a single account on behalf of multiple unrelated landlords, or operate the account as a shared / agency / reseller account. Each individual landlord — and each separate property management company — must have their own account and their own Landlord License.
6.4 Term, renewal and cancellation
Each Landlord License is valid for 365 days from the date of successful payment. The Landlord License does not auto-renew unless the Service expressly states otherwise at the time of purchase; you must renew manually to keep publishing after the term expires. When the term expires, your listings on that University site are automatically un-published and hidden from students until you renew.
Payments are processed by our third-party payment processor (currently Stripe). All sales are final and non-refundable, except where a refund is required by applicable mandatory consumer-protection law.
6.5 Suspension or termination of the Landlord License
We may, at our sole discretion and without notice or refund, suspend, restrict, or terminate a Landlord License and remove the related listings if we, the participating University, or a competent authority reasonably believe that:
- the landlord is publishing properties that they do not own or are not authorized to manage;
- the account is being shared, transferred, resold, or used on behalf of unrelated third parties;
- the listings, messages or behavior of the landlord violate these Terms, the Acceptable Use rules of a University, Fair Housing law, or any applicable law;
- the landlord engages in fraud, misrepresentation, harassment, discrimination, scam attempts, or other harmful conduct;
- the payment has been reversed, charged-back, or disputed;
- continued publication would create a legal, reputational, or safety risk for HousingHUB, the University, or other users.
Suspension or termination under this Section 6.5 does not entitle the landlord to any refund, credit, compensation, or carry-over to another University. The landlord remains liable for any loss caused by the breach.
6.6 No exclusivity — neutral platform
The Landlord License does not grant any exclusivity, ranking, placement, lead-generation, occupancy, or revenue guarantee. Nothing in this Section 6 changes the neutral nature of the Service described in Sections 1 and 2 above: HousingHUB remains a meeting point only, is not a broker, agent or party to any rental agreement, and does not vet or verify users, properties or listings.
7. Content you submit
You keep the rights you already have in the content you submit (listings, photos, descriptions, messages, “User Content”). You grant us a worldwide, non-exclusive, royalty-free, sub-licensable license to host, store, reproduce, display, adapt for technical delivery, and distribute that User Content solely as needed to operate, promote and improve the Service.
You are solely responsible for your User Content and for any consequences of publishing it. We may, at our sole discretion and without prior notice, remove or refuse to display any User Content that we believe violates these Terms, the Acceptable Use rules of a University, applicable law, or the rights of a third party.
8. Accounts and access
You are responsible for keeping your credentials confidential and for all activity carried out under your account. Notify us immediately at housinghub@kliri.com if you suspect unauthorized access.
We may suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms, if a University requests it, or if we discontinue the Service.
9. NO WARRANTIES — THE SERVICE IS PROVIDED “AS IS”
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND ALL CONTENT MADE AVAILABLE THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, RELIABILITY, SECURITY, OR ABSENCE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF FRAUDULENT, ABUSIVE OR ILLEGAL CONTENT POSTED BY OTHER USERS.
10. LIMITATION OF LIABILITY — DISCLAIMER OF DAMAGES
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEITHER HOUSINGHUB, EASYVIRTUALFAIR LLC, NOR ANY PARTICIPATING UNIVERSITY, NOR ANY OF THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES OR LICENSORS WILL BE LIABLE FOR:
- any indirect, incidental, special, exemplary, punitive or consequential damages of any kind;
- loss of profits, revenue, business, goodwill, data, opportunity, or substitute housing;
- any property damage, personal injury, illness, theft, fraud, harassment, discrimination, scam, mis-representation, breach, default, eviction, dispute, claim, action, lawsuit, judgment, fine, penalty or expense arising out of or in connection with any rental relationship, negotiation, viewing, interaction, transaction, agreement, payment, deposit, document or content between users of the Service;
- any act or omission of any landlord, student, third party, government authority, or other user of the Service;
- the unavailability, failure, suspension, modification or discontinuation of the Service.
IN ANY EVENT, OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100.00). Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages; in those jurisdictions our liability is limited to the maximum extent permitted by law.
11. Indemnification
You agree to defend, indemnify and hold harmless HousingHUB, EasyVirtualFair LLC, the participating Universities, and their respective officers, directors, employees, agents and affiliates from and against any and all claims, damages, liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your interaction or relationship with any other user; (d) any rental, lease, payment, deposit, document or dispute between you and any other user; (e) your breach of these Terms; or (f) your violation of any law or third-party right.
12. Third-party links and content
The Service may contain links to third-party sites or services (including Google Maps and other partners). We do not control those sites and accept no responsibility for their content, policies, availability or practices.
13. Changes to the Service or these Terms
We may also terminate or suspend an Institution workspace for inactivity or other cause as described in Section 15 (Institution accounts).
We may change, suspend or discontinue all or any part of the Service at any time. We may also modify these Terms; the updated version becomes effective when posted (the “Last updated” date will reflect the change). Your continued use of the Service after the change means you accept the updated Terms.
14. Governing law and venue
These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict-of-laws rules. The exclusive venue for any dispute arising out of or relating to these Terms or the Service shall be the state or federal courts located in Chester County, Pennsylvania, and you irrevocably consent to the personal jurisdiction of those courts. If you are a consumer located in the European Union or the United Kingdom, you also retain the protection of any mandatory consumer-protection laws of your country of residence.
15. Institution accounts — inactivity, suspension and refunds
This Section 15 applies to any institution (university, college, community college, study abroad program, K-12 district, language school, bootcamp or similar; the “Institution”) that signs up for a HousingHUB workspace, including via the public self-signup form at /get-started.
15.1 Inactivity — suspension when the workspace is not used
HousingHUB is offered at no cost to Institutions on the assumption that the workspace will be actively used. If an Institution does not actually use the Service — for example, the housing-admin account is dormant, no listings are reviewed, no students are invited, or no landlords subscribe through the Institution's portal — we may, at our sole discretion and without prior notice, suspend or terminate the workspace.
If at the time of suspension or termination no landlords have paid a Landlord License through the Institution's portal, the workspace may be suspended or deleted without any further obligation on our part and without any compensation due to the Institution.
If at the time of suspension or termination one or more landlords have paid an active Landlord License through the Institution's portal, those landlords will receive a pro-rata refund of the unused portion of their annual subscription, calculated from the date the workspace becomes unavailable to the end of their then-current 365-day term. Refunds under this paragraph are processed by us through Stripe and do not entitle the landlord to any further compensation.
15.2 Voluntary suspension or closure by the Institution
If the Institution itself decides to suspend, close, abandon or otherwise stop using its workspace, no refund will be issued to any landlord who paid a Landlord License through that workspace. The decision to keep the workspace operational is the sole responsibility of the Institution; landlords accept this expressly in the Landlord License (Section 6) at purchase time.
The Institution agrees to give us reasonable advance notice (where feasible) before voluntarily closing a workspace that has active paid landlords, so we can notify those landlords and minimize disruption.
16. Severability and entire agreement
If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force. These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Service and supersede any prior understanding on that subject.
